Terms of Use

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and 16515924 Canada Inc., operating as StageX ("StageX", "we", "us", or "our"), a corporation federally incorporated under the laws of Canada with its principal place of business in Toronto, Ontario, Canada.

By creating an account, accessing, or using the StageX application ("App") and related services (collectively, the "Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree, you must not use the Platform.

Part A: General Terms (Applicable to All Users)

1. Acceptance of Terms

By tapping "I Agree" or otherwise accessing or using the Platform, you agree to these Terms, our Privacy Policy, and any additional guidelines or rules posted on the Platform. These Terms apply to all users, including viewers, fans, creators, and subscribers. We may update these Terms from time to time as described in Section 24 below.

2. Platform Overview

StageX is a content platform enabling creators to share video content, audio recordings, and text-based posts with their audience. The Platform offers three subscription products: (i) the StageX Pass, a fan utility subscription that removes the daily viewing time limit on video and audio content — it does not, by itself, unlock any Creator's full-length content, and it does not raise upload limits; (ii) the Creator Pass, a utility subscription available to approved Creators that includes the StageX Pass viewing benefit and raises the holder's monthly upload allowance (currently up to ten (10) videos and ten (10) audio recordings per month) and unlocks creator conveniences such as editing posts after they are published — the Creator Pass does not unlock other Creators' content; and (iii) per-Creator subscriptions, by which fans subscribe directly to an individual Creator to unlock that Creator's full-length video and audio content. The StageX Pass and Creator Pass are platform utility subscriptions, and their revenue is platform revenue that is not distributed to Creators. Direct Creator compensation for content flows from per-Creator subscription revenue; Creators may additionally earn from Beat Marketplace sales (Section 13) and Event Ticket sales (Section 15). The Platform also includes: (a) the Beat Marketplace (Section 13), a marketplace where approved Producers list and sell beats and instrumentals under tiered licenses (such as MP3, WAV, and Exclusive/stems licenses), on which StageX charges a five percent (5%) platform fee taken from the Producer's proceeds and passes the card processing fee through to the buyer at checkout, and from which amounts owed to any collaborators the Producer credits are deducted; (b) StageX Radio (Section 14), a free, continuously running audio broadcast that programs music from participating Creators, selected and sequenced by StageX, into a single synchronized stream heard by all listeners at the same time, and which may include automated, AI-generated host, announcer, and commentary segments ("DJ StageX") between songs; and (c) Event Tickets (Section 15). The StageX Feed (Threads) and playlists are available to all users without a subscription.

3. Revenue Model & Creator Compensation

(a) Subscription Products. StageX offers three subscription products:

  • StageX Pass. A fan utility subscription priced at USD $2.99 per month on stagex.tv (billed through Stripe) and USD $3.99 per month on iOS (billed through Apple In-App Purchase). The StageX Pass removes the daily viewing time limit on video and audio content. It does NOT unlock full-length video or audio content from any Creator (full-length content access is provided exclusively through per-Creator subscriptions), and it does NOT raise upload limits. StageX Pass revenue is platform revenue and is not distributed to Creators.
  • Creator Pass.A utility subscription available to approved Creators, sold on iOS through Apple In-App Purchase at the price displayed in the app at the time of purchase. The Creator Pass includes the StageX Pass viewing benefit and raises the holder's monthly upload allowance (currently up to ten (10) videos and ten (10) audio recordings per month) and unlocks creator conveniences such as editing posts after they are published; it does not unlock other Creators' content. Creator Pass revenue is platform revenue and is not distributed to Creators. The StageX Feed (Threads), the Tickets surface, and playlists remain available to all users with or without a Pass.
  • Per-Creator Subscriptions.Each Creator may set their own monthly subscription price (the "Set Price") from the published tier ladder ($5.99, $7.49, $14.99, $19.99, $29.99, $49.99, or $99.00). The Set Price is what fans pay on stagex.tv. On iOS, fans pay an uplifted price(currently $7.99, $9.99, $19.99, $26.99, $39.99, $66.99, or $139.99 respectively) calibrated so that, after Apple's commission and StageX's platform fee, the Creator nets at-or-near their Set Price on either channel. A fan who subscribes to a Creator unlocks all of that Creator's full-length video and audio content. Fans may subscribe to as many Creators as they choose simultaneously; each per-Creator subscription is independent and managed separately.

iOS Uplift Mechanism.The iOS prices in the paragraph above include a platform uplift designed to absorb Apple's In-App Purchase commission, so Creators are not required to discount their take-home pay for fans who choose to subscribe via the App Store. StageX may adjust the uplift table as Apple's commission rate changes (see Section 3(b)(i) regarding the $1,000,000 threshold). Any such adjustment will be communicated to Creators at least thirty (30) days in advance per Section 3(h).

(b) Per-Creator Subscription Revenue Split.For each per-Creator subscription payment received, StageX retains a flat platform fee of ten percent (10%) of the gross subscription amount. The payment processor's fee is separately deducted as follows:

  • For iOS in-app subscriptions, Apple's commission applies. StageX participates in the Apple Small Business Program. Apple's commission is fifteen percent (15%) while StageX's annual proceeds remain under USD $1,000,000. Once StageX's annual proceeds exceed USD $1,000,000, Apple's commission rises to thirty percent (30%) for the remainder of that calendar year. StageX will notify Creators in advance of any change in the applicable Apple commission rate.
  • For web subscriptions, Stripe's processing fee applies (currently 2.9% plus USD $0.30 per transaction).

The remaining amount per subscription payment, after deduction of the applicable payment processor fee and the 10% StageX platform fee, is transferred to the Creator's Stripe Connect account in accordance with the payout schedule in subsection (c). See our Fees & Payouts page for tier-by-tier breakdowns of the resulting net amounts.

(c) Payout Schedule.Per-Creator subscription earnings are transferred to each Creator's Stripe Connect account on a cadence determined by the payment channel through which the fan subscribed. Earnings from web (Stripe) subscriptions are paid weekly, following a brief refund-protection hold (currently seven (7) days). Earnings from iOS (Apple In-App Purchase) subscriptions become payable once Apple has remitted the corresponding in-app-purchase revenue to StageX — Apple settles on its monthly fiscal calendar, typically five (5) to eight (8) weeks after the fiscal period in which the payment occurred — and are then included in the next weekly payout run. StageX never advances Apple-billed earnings ahead of Apple's remittance. StageX may adjust these schedules. Subscription earnings transferred at the scheduled payout date reflect the Creator's net share after the deductions described in subsection (b), less any verified refunds, chargebacks, or subscription reversals applicable to that period.

(d) Minimum Payout Threshold. Net Creator earnings below USD $10.00 in any payout cycle will be carried forward to the next cycle, accumulating until the threshold is met.

(e) Payout Accounts. Creators must establish and maintain a valid Stripe Connect Express account to receive subscription earnings. StageX is not responsible for payout delays or failures caused by incomplete, inaccurate, or unverified Stripe account information.

(f) Taxes. You are solely responsible for determining and fulfilling your tax obligations arising from any revenue earned through the Platform, including income tax, sales tax, GST/HST, VAT, or any other applicable taxes in your jurisdiction. StageX and Stripe Connect may issue annual tax summaries (e.g., Form 1099-K in the United States, or local equivalents) where applicable, but Creators remain solely responsible for their own tax filings.

(g) Creator Price Changes.A Creator may change their subscription price tier at any time through the in-app pricing controls. Existing subscribers will continue to be billed at the price tier in effect at the time of their last renewal until their next renewal cycle, at which point the new tier applies. StageX does not modify any subscriber's billed amount retroactively.

(h) Pass Price Changes. StageX reserves the right to adjust the pricing of the StageX Pass. Existing Pass subscribers will be notified at least thirty (30) days prior to any price change taking effect. Continued use after the price change constitutes acceptance of the new price.

(i) Refunds, Chargebacks & Processing Fees.If a fan receives a refund or initiates a chargeback, the corresponding subscription earnings (both the Creator share and the StageX share) are reversed on the next applicable payout cycle. For any transaction processed through Stripe (including the web StageX Pass, per-Creator subscriptions, Beats, and Tickets), the payment-processing and dispute fees charged by Stripe are non-refundable and are not absorbed by StageX. Accordingly, where StageX issues a refund, the amount returned is the original purchase price less any Stripe processing and/or dispute fees applicable to that transaction, and in no event will a refund or reversal cause StageX to incur a net loss on the transaction. Refunds for iOS purchases are handled by Apple in accordance with Apple's policies; StageX cannot directly issue refunds for Apple-billed transactions.

4. Subscriptions — Pass and Per-Creator

(a) StageX Pass.The StageX Pass is an auto-renewing monthly subscription. On iOS, the Pass is sold exclusively through Apple In-App Purchase and billed to your Apple ID; on stagex.tv, it is sold through Stripe. The StageX Pass provides removal of the daily viewing limit on video and audio content. It does not unlock any Creator's full-length content. The StageX Feed (Threads), the Tickets surface, and playlists remain available to all users with or without a Pass.

(b) Per-Creator Subscriptions.Per-Creator subscriptions are auto-renewing monthly subscriptions tied to a specific Creator. On iOS, each Creator's subscription is a distinct App Store product under that Creator's dedicated subscription group, billed to your Apple ID; on stagex.tv, the same subscription is billed through Stripe. A per-Creator subscription unlocks all of that Creator's full-length video and audio content for as long as the subscription remains active. Subscribing to one Creator does not affect access to, or billing for, subscriptions to any other Creator.

(c) Free Tier Limits.Users without an active StageX Pass are subject to daily viewing limits of thirty (30) minutes of combined trailer video and audio streaming per day. The daily limit resets at midnight in the user's local timezone. Unused viewing time does not carry over to subsequent days. Free-tier users without any active per-Creator subscriptions may view trailers and other preview content only — full-length Creator content is gated behind per-Creator subscriptions regardless of StageX Pass status.

(d) Upload Limits. Users without an active StageX Pass may upload up to four (4) videos and four (4) audio tracks per calendar month. Upload limits reset on the first day of each calendar month.

(e) Free Trials. StageX may offer a seven (7) day free trial for the StageX Pass and for individual per-Creator subscriptions. Each user is entitled to one (1) free trial per subscription product. If you cancel during the free trial period, you will not be charged. At the end of the trial period, your payment method will be charged the applicable subscription price unless you cancel before the trial expires.

(f) Cancellation. You may cancel any subscription at any time. For subscriptions purchased on iOS through Apple In-App Purchase, you must manage and cancel your subscription in your Apple ID Account Settings; StageX cannot cancel or refund an Apple-billed subscription on your behalf. For subscriptions purchased on stagex.tv, you may cancel through the Platform. In all cases, cancellation takes effect at the end of the current billing period, and you retain access until that period expires.

(g) No Refunds.All subscription payments are non-refundable except as required by applicable law in your jurisdiction. Subscribing grants immediate, unrestricted access to the Creator's full catalog of content for the billing period; because that access is delivered instantly and cannot be returned or un-consumed, subscription charges — including charges resulting from accidental or mistaken purchases — are final once made. Refunds for purchases made through Apple In-App Purchase are handled solely by Apple in accordance with Apple's policies.

(h) Creator Account Deletion.If a Creator deletes their account, all active subscriptions to that Creator are canceled. For subscriptions billed on the web through Stripe, StageX will refund the unused portion of the fan's current billing period on a prorated basis, less any non-refundable Stripe processing fees. For subscriptions billed through Apple In-App Purchase, StageX will cancel the subscription on the Platform and notify the fan; because Apple controls iOS billing, any refund of Apple-charged amounts is handled by Apple in accordance with Apple's policies, and the fan should also cancel the subscription in their Apple ID settings.

5. Eligibility

(a) Age Requirement. You must be at least thirteen (13) years of age to use the Platform. By using the Platform, you represent and warrant that you meet this age requirement.

(b) Minors (Ages 13-17) as Viewers. If you are under eighteen (18) years of age and using the Platform as a viewer or fan, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. Your parent or legal guardian is responsible for your use of the Platform and any transactions associated with your account, including any subscriptions or purchases made.

(c) Minors (Ages 13-17) as Creators. Users under eighteen (18) who wish to upload content or earn revenue through the Platform must satisfy ALL of the following requirements:

  • A parent or legal guardian must co-sign these Terms and the Creator Agreement by creating or verifying the account on behalf of the minor;
  • A parent or legal guardian must establish, own, and manage the Stripe Connect account through which payouts are made — the minor may not hold the Stripe Connect account directly;
  • The parent or legal guardian assumes full legal liability for all content uploaded by the minor, including responsibility for copyright compliance, content standards, and any claims arising from the content;
  • The parent or legal guardian is responsible for compliance with all applicable labor and tax laws in their jurisdiction relating to the minor's activities on the Platform.

(d) Parental Responsibility.Parents and legal guardians who consent to a minor's use of the Platform agree to be bound by these Terms with respect to the minor's account. StageX may require verification of parental consent at any time and may suspend or terminate a minor's account if adequate parental consent cannot be demonstrated.

(e) Content Advisory. The Platform contains user-generated content that may include explicit language, mature themes, and sexually suggestive (but not explicit) visual content in music, video, and audio. By using the Platform, you acknowledge and accept that such content may appear in your feed and across the Platform.

6. Account Registration

(a) You must provide accurate, current, and complete information during registration and keep your account information up to date.

(b) You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

(c) You may create and maintain multiple accounts (for example, for separate brands, businesses, or managed artists), provided each account uses a unique email address and complies with these Terms. You are responsible for all activity on every account you create.

(d) You agree to notify StageX immediately of any unauthorized use of your account.

(e) Usernames & Display Names. Your username, display name, and profile identifiers are subject to the same standards as all other content on the Platform (Section 16). You may not choose or use a username or display name that is unlawful, hateful, harassing, obscene, deceptive, or that impersonates another person or brand. StageX may, at its discretion and without prior notice, reject, reclaim, remove, or require you to change any username or display name it deems inappropriate or in violation of these Terms. Where a handle is flagged, you may be required to select a new, compliant username before you can continue using the Platform. Usernames are licensed to you for use on the Platform, not sold, and confer no ownership or property right.

7. Content Ownership & License to StageX

(a) Your Content.You retain all ownership rights in the content you upload to the Platform, including videos, audio tracks, images, and text ("Your Content"). StageX does not claim ownership of Your Content.

(b) License Grant. By uploading Your Content to the Platform, you grant StageX a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, perform, and otherwise exploit Your Content in connection with the Platform, including but not limited to:

  • Displaying Your Content within the StageX application and any associated websites or services;
  • Promoting and marketing the Platform, including featuring Your Content in advertisements, social media posts, App Store listings, press materials, and other promotional channels;
  • Adapting, reformatting, transcoding, or compressing Your Content for technical compatibility across devices, platforms, and network conditions (including creating multiple bitrate renditions for adaptive streaming);
  • Creating thumbnails, previews, trailers, and clips derived from Your Content for discovery and recommendation purposes.

(c) Duration. This license persists for as long as Your Content remains on the Platform and for a reasonable period thereafter (not to exceed ninety (90) days) to allow for removal from caches, backup systems, and content delivery networks.

(d) Representations. You represent and warrant that you have all rights, licenses, consents, and permissions necessary to grant the foregoing license and that Your Content does not infringe or violate the rights of any third party.

Part B: Creator-Specific Terms

The following sections apply specifically to users who upload content to the Platform ("Creators"). By uploading any content, you agree to be bound by the general terms in Part A and the creator-specific terms in this Part B.

8. Copyright & Intellectual Property — Audio Content

(a) Creator Responsibility. If you upload audio content (music recordings, songs, podcasts, sound recordings, or other audio files), you represent and warrant that:

  • You are the sole owner of the audio recording and any underlying musical composition (lyrics and melody), OR you have obtained all necessary licenses, permissions, and clearances to distribute and monetize the audio content through the Platform;
  • For cover songs: you have obtained all required mechanical licenses for the underlying musical composition;
  • For remixes or derivative works: you have obtained all required permissions from the original rights holders;
  • For content containing samples: you have obtained all required sample clearances from the owners of the sampled recordings and compositions;
  • No performing rights organization (PRO), collective management organization (CMO), or other third party has exclusive rights that would prevent you from distributing the content through the Platform.

(b) Audio-Specific Liability. Audio content (particularly music) is subject to complex rights involving sound recording copyrights, musical composition copyrights, performance rights, mechanical rights, and synchronization rights. As the creator, you bear sole responsibility for ensuring all necessary rights are secured before uploading.

9. Copyright & Intellectual Property — Video & Audio-Visual Content

(a) Creator Responsibility. If you upload video or audio-visual content, you represent and warrant that:

  • You are the sole creator of the video content, OR you have obtained all necessary rights, licenses, and permissions for every element contained in the video, including but not limited to: visual footage, background music, sound recordings, musical compositions, images, graphics, trademarks, and likenesses of identifiable individuals;
  • Any music used in your video content is either: original music you own; properly licensed for synchronization use; or royalty-free/Creative Commons music used in accordance with its license terms;
  • You have obtained written consent or releases from all identifiable individuals appearing in your video content;
  • Your video content does not contain any third-party copyrighted material used without authorization, including clips from television, film, other creators' content, or copyrighted visual art.

(b) Synchronization Rights.The use of music in video content requires synchronization ("sync") licenses in addition to other music rights. You are solely responsible for obtaining sync licenses where applicable.

10. Copyright Enforcement & Infringement Liability

(a) Sole Liability for Infringement. In the event that any content you upload is found to infringe or is alleged to infringe the intellectual property rights of any third party, you bear sole and complete responsibility, including:

  • All costs of defense, legal fees, settlements, judgments, and damages;
  • Direct communication and negotiation with rights holders or their representatives;
  • Compliance with all court orders, statutory notices, and other legal processes.

(b) Revenue Reimbursement. If content you uploaded is determined to be infringing (whether through legal proceedings, settlement, statutory process, or your own acknowledgment), you agree to reimburse one hundred percent (100%) of all gross revenue generated by the infringing content, meaning:

  • You must refund the full gross subscription revenue attributable to the infringing content — both your creator share (your payout after the StageX platform fee and payment-processing fees, as detailed on our Fees & Payouts page) and the ten percent (10%) platform fee retained by StageX;
  • StageX does not absorb any portion of the refund obligation — the creator is solely responsible for covering the entire amount;
  • This obligation survives termination of your account and these Terms.

(c) Indemnification. You agree to indemnify, defend, and hold harmless StageX, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to Your Content, including any claims of intellectual property infringement.

11. Copyright Notice Procedures

(a) For Users in Canada — Notice and Notice Regime. StageX complies with the notice and notice regime under the Copyright Act (Canada). Upon receiving a notice of claimed infringement from a copyright owner:

  • StageX will forward the notice to the user who uploaded the content in question;
  • StageX will retain a record of the notice for a minimum of six (6) months;
  • StageX is not required to remove or disable access to the content upon receipt of a notice alone. However, StageX reserves the right to remove content at its sole discretion based on the nature of the claim.

(b) DMCA Designated Agent.StageX's designated agent for receiving notifications of claimed copyright infringement, registered with the U.S. Copyright Office (Registration No. DMCA-1070754), is:

(c) For Users in the United States — DMCA Process. StageX complies with the Digital Millennium Copyright Act (DMCA) for claims involving U.S. copyright holders:

  • Filing a Takedown Notice. Submit a DMCA notice to our designated agent (see above) including: identification of the copyrighted work; identification of the infringing material with sufficient detail to locate it; your contact information; a good faith belief statement; a statement under penalty of perjury of accuracy; and your physical or electronic signature.
  • Counter-Notification. If you believe your content was removed in error, submit a counter-notification including: identification of the removed material; a good faith belief statement; your name, address, and telephone number; consent to jurisdiction; and your signature.

(d) For Users in the European Union / European Economic Area. StageX complies with Directive 2019/790 (the EU Copyright Directive) and applicable national implementations. Rights holders may submit takedown requests to stagex.tv@gmail.com.

(e) For Users in Other Jurisdictions. StageX will process copyright complaints in accordance with the applicable laws of the jurisdiction from which the complaint originates. All copyright-related communications should be directed to stagex.tv@gmail.com.

(f) Repeat Infringer Policy. StageX maintains a repeat infringer policy. Users who receive three (3) valid copyright strikes will have their account permanently terminated. StageX reserves the right to terminate accounts with fewer strikes in cases of egregious or willful infringement.

Part C: User-Specific Terms

The following sections apply to all users of the Platform, including fans, viewers, and subscribers.

12. Subscriptions & Payments

(a) Subscriptions Offered. StageX offers the following subscriptions, all auto-renewing monthly. (i) StageX Pass.The StageX Pass removes your daily viewing limit so you can browse the Platform without the cap. The StageX Pass does not, by itself, unlock Creators' full-length content. (ii) Per-Creator Subscriptions.You may subscribe to an individual Creator to unlock all of that Creator's full-length video and audio content. You may subscribe to as many Creators as you choose; each per-Creator subscription is independent and billed separately. (iii) Creator Pass.Available to approved Creators, the Creator Pass raises your monthly upload allowance (currently up to ten (10) videos and ten (10) audio recordings per month), lets you edit your posts after publishing, and includes the StageX Pass viewing benefit. The Creator Pass does not unlock other Creators' content. On iOS, all subscriptions are sold exclusively through Apple In-App Purchase and billed to your Apple ID. On stagex.tv, they are sold through our payment processor, Stripe.

(b) Auto-Renewal & Billing. Each subscription automatically renews each month unless auto-renew is turned off at least 24 hours before the end of the current period. For purchases made on iOS, payment is charged to your Apple ID at confirmation of purchase, and your account is charged for renewal within 24 hours prior to the end of the current period. You will be charged the price in effect at the time of renewal, displayed at the point of purchase in your local currency.

(c) Cancellation. You may cancel any subscription at any time. For subscriptions purchased on iOS through Apple In-App Purchase, you must manage and cancel your subscription in your Apple ID Account Settings; StageX cannot cancel or refund an Apple-billed subscription on your behalf. For subscriptions purchased on stagex.tv, you may cancel through the Platform. In all cases, cancellation takes effect at the end of the current billing period, and you retain access until that period expires. Any unused portion of a free trial, if offered, is forfeited upon purchase of a subscription.

(d) No Refunds.All subscription payments are non-refundable, except as required by applicable law in your jurisdiction. Refunds for purchases made through Apple In-App Purchase are handled solely by Apple in accordance with Apple's policies.

(e) Failed Payments. If a payment fails, StageX (or Apple, for iOS purchases) may retry the charge. If payment cannot be collected after reasonable attempts, your subscription may be suspended or canceled.

(f) Currency. Prices are shown in your local currency at the point of purchase. For iOS purchases, pricing and any currency conversion are determined by Apple. For web purchases, conversion is performed by your payment provider or Stripe at the prevailing exchange rate, and additional currency conversion fees may apply.

13. Beat Marketplace

(a) Overview & Roles.The Platform includes a marketplace where approved producers ("Producers") offer licenses to instrumental compositions ("Beats") to other Users ("Beat Buyers"). Each Beat license is a direct contract between the Producer and the Beat Buyer. StageX operates the marketplace, processes payment, and delivers files and license documentation as a facilitator; StageX is not a party to the license, does not own the Beats, and makes no warranty as to any Beat's originality, quality, or fitness for purpose.

(b) Producer Onboarding & Catalog License Terms. To sell Beats, a Producer must complete a one-time license setup specifying prices and usage limits for each license tier, and must affirmatively accept these Terms. The Producer's catalog terms apply uniformly to every Beat the Producer lists. A Producer may update catalog terms at any time; updates apply to listings immediately and to future sales only — licenses already sold remain governed by the terms in effect at the time of that sale, as recorded in the delivered license document.

(c) Producer Representations & Warranties.By listing a Beat, the Producer represents and warrants that: (i) the Producer owns or controls all rights in and to the Beat, including all samples, interpolations, loops, and third-party materials embodied in it (or holds valid clearances covering the license rights offered); (ii) the Producer has full authority to grant the licenses offered, including on behalf of any collaborators; (iii) the Beat does not infringe any third party's copyright, trademark, publicity, privacy, moral, or other rights; and (iv) all collaborator split allocations entered by the Producer are accurate and authorized. The Producer will indemnify and hold harmless StageX and the Beat Buyer from any claim arising from a breach of these warranties.

(d) License Tiers. Beats are offered under the following tier structure, at the prices and usage caps set by the Producer and displayed at checkout: (i) MP3 Lease and WAV Lease — non-exclusive, non-transferable licenses to create one new recording, subject to the stream, music video, radio-station, and distribution-copy limits stated in the delivered license (limits marked unlimited carry no cap); (ii) Stems — a non-exclusive license including stem files with unlimited use, which does not remove the Beat from sale; and (iii) Exclusive Rights— a buyout transferring the offered rights in the Beat to the Beat Buyer, upon which the Beat is permanently removed from the marketplace; the Producer retains any writer's-share of publishing as stated in the license document. The license document delivered with each purchase is the definitive record of the rights granted. Non-exclusive licenses previously sold survive a subsequent exclusive sale.

(e) Exclusive Offers.Where a Producer has not set an exclusive price, Beat Buyers may submit exclusive offers, which must exceed the Beat's Stems tier price. An offer is an invitation to negotiate only; no contract forms unless the Producer and Beat Buyer complete a sale through the Platform.

(f) Pricing, Fees & Payouts.The Beat Buyer pays the Producer's listed price plus a card processing fee (the payment processor's fee, passed through to the buyer and shown as a separate line at checkout). StageX retains a platform fee of five percent (5%) of the listed price, deducted from the Producer's proceeds — the Producer receives ninety-five percent (95%) of the listed price, less any collaborator splits the Producer has configured. Producer payouts are made via Stripe (including Stripe Connect); receiving payouts requires completing Stripe onboarding, and amounts accrue to the Producer's balance until then. Producers and collaborators are solely responsible for reporting and remitting their own income taxes. Applicable sales taxes, where required, may be added at checkout.

(g) Collaborator Splits. A Producer may allocate a percentage of each sale to collaborators identified by StageX username or email address. Splits are locked per sale at the moment of purchase. Amounts allocated to an email address are held for that collaborator and released when they register a StageX account with that email. StageX may rely conclusively on the split allocations entered by the uploading Producer, who is solely responsible for their accuracy.

(h) Delivery; All Sales Final. Beat purchases are digital goods delivered immediately by download link and email. Because delivery is instantaneous and files cannot be returned, all Beat sales are final and non-refundable, except where required by applicable law or where StageX determines in its discretion that the purchased files were not delivered or are materially defective.

(i) Credit.Unless the license document states otherwise, Beat Buyers under lease and stems tiers must credit the Producer (e.g., "Prod. by @username") in the title and/or metadata of any released work using the Beat.

(j) Infringement Claims & Remedies. Beats are subject to the copyright procedures in Sections 10 and 11. StageX may remove any Beat, suspend any Producer, withhold or reverse pending payouts related to a disputed Beat, and/or terminate marketplace access where StageX reasonably believes a Beat infringes third-party rights, a warranty in Section 13(c) is breached, or fraud has occurred.

14. StageX Radio & Live Chat

(a) The Service. StageX Radio is a continuous, programmed stream of audio content uploaded to the Platform by creators. Programming, availability, and features may change at any time without notice, and StageX does not guarantee uninterrupted service.

(b) Content License. By uploading audio to the Platform, creators grant StageX the right (within the license in Section 7) to transmit, technically reproduce, and publicly make available their content through StageX Radio, including in processed broadcast renditions. Creators warrant they hold all rights necessary for this use, including in the underlying musical composition and sound recording.

(c) Listener License & Restrictions. Radio is provided for your personal, non-commercial listening only. You may not record, rip, capture, download, redistribute, rebroadcast, retransmit, or publicly perform the Radio stream (including playing it as ambient or commercial background audio in a business establishment), nor circumvent any technical protection applied to the stream.

(d) Live Chat. Radio includes a public live chat. Everything you post is visible to all listeners, is associated with your username, and may be retained. The conduct rules in Section 16 apply in full. StageX may remove messages, restrict chat privileges, or suspend accounts at its sole discretion, with or without notice. Tagging another User (@username) may generate a notification to that User and a public link to their profile.

(e) No Endorsement.Content played on Radio is creator-uploaded. Inclusion in Radio programming does not constitute StageX's endorsement, and Section 10's enforcement rights apply to Radio content.

15. Event Tickets

(a) Roles.Creators may list and sell tickets to live or virtual events ("Events") through the Platform. The creator listing the Event (the "Organizer") is the seller of the ticket and the party solely responsible for the Event — including its occurrence, safety, quality, accuracy of the listing, venue arrangements, and compliance with all laws, permits, and venue rules. StageX acts solely as the Organizer's ticketing platform and payment facilitator and is not the Event seller, promoter, or host.

(b) Purchase & Delivery. Tickets are delivered digitally to your StageX account (including by QR code) and/or email. You are responsible for presenting a valid, unaltered ticket for entry. Duplicate, altered, or fraudulently obtained tickets may be voided without refund.

(c) Pricing, Fees & Taxes.Ticket prices are set by the Organizer (minimum USD $0.99 for paid tickets; Organizers may also host free events at no charge). StageX retains a platform fee of five percent (5%) of the ticket price, deducted from the Organizer's proceeds — the Organizer receives ninety-five percent (95%) of the price they set. Card payment-processing fees are added to the buyer's total as a separate line at checkout, and applicable taxes are calculated based on the Event location where required. Every fee is itemized at checkout, and the total shown is the full amount payable.

(d) Refunds, Cancellation & Postponement.All ticket sales are final and non-refundable except: (i) if an Event is cancelled and not rescheduled, the ticket price (including taxes), less any non-refundable payment-processing fees, will be refunded to the original payment method; (ii) if an Event is materially rescheduled, your ticket remains valid for the new date, or you may request a refund within a reasonable period announced at the time of rescheduling; and (iii) where a refund is required by applicable law. Change of mind, inability to attend, and dissatisfaction with an Event are not refundable circumstances. Refund obligations are ultimately the Organizer's; StageX may facilitate refunds from Event proceeds.

(e) Entry & Conduct.Admission is subject to the Organizer's and venue's rules, including age restrictions, ID checks, search policies, and health or safety requirements. The Organizer or venue may refuse entry or remove any attendee for cause without refund. A ticket is a revocable license to attend the Event, not a property right.

(f) Transfer & Resale.Tickets may not be resold or transferred for commercial purposes, used for promotions or sweepstakes, or combined with other products or services, without the Organizer's consent and compliance with applicable ticket-resale laws. StageX may cancel tickets it reasonably believes were obtained or transferred in violation of this Section.

(g) Assumption of Risk; Liability. You attend Events at your own risk. To the maximum extent permitted by law, StageX is not liable for any injury, loss, or damage arising at or in connection with an Event, for Event cancellation or changes, or for the acts or omissions of any Organizer, venue, performer, or attendee. Claims relating to an Event are between you and the Organizer. Section 18 (Limitation of Liability) applies in full.

(h) Virtual Events. Where an Event is virtual, access credentials are for your personal use only and may not be shared, and the streaming restrictions in Section 14(c) apply to the Event stream.

16. Prohibited Content & Conduct

You agree not to upload, share, or transmit any content or engage in any conduct that:

  • Is unlawful, fraudulent, deceptive, or harmful;
  • Constitutes harassment, bullying, threats, or intimidation directed at any individual or group;
  • Promotes hatred, discrimination, or violence based on race, ethnicity, national origin, religion, gender, gender identity, sexual orientation, disability, or age;
  • Contains or promotes sexually exploitative content involving minors;
  • Contains full nudity or pornographic content (sexually suggestive content that does not include full nudity is permitted, consistent with music video and artistic expression standards);
  • Contains malware, viruses, or any code designed to disrupt, damage, or limit the functionality of any software or hardware;
  • Constitutes spam, unsolicited advertising, or unauthorized commercial solicitation;
  • Impersonates any person or entity or falsely represents your affiliation with any person or entity;
  • Violates the privacy rights of any third party, including sharing personal information without consent;
  • Interferes with or disrupts the Platform or servers connected to the Platform;
  • Attempts to gain unauthorized access to any portion of the Platform, other accounts, or computer systems;
  • Circumvents or attempts to circumvent any technological measures used to protect content, enforce viewing limits, or manage access to the Platform.

StageX reserves the right to remove any content and suspend or terminate any account that violates these prohibitions, in its sole discretion and without prior notice.

Part D: Legal Provisions

17. Dispute Resolution

(a) Informal Resolution. Before initiating any formal dispute proceeding, you agree to first contact StageX at stagex.tv@gmail.com and attempt to resolve the dispute informally for at least thirty (30) days.

(b) Users in the United States and Canada — Binding Arbitration. If informal resolution is unsuccessful, any dispute, controversy, or claim arising out of or relating to these Terms shall be settled by binding arbitration. For users in Canada, arbitration shall be administered under the Arbitration Act, 1991 (Ontario). For users in the United States, arbitration shall be administered under the rules of the American Arbitration Association (AAA). In both cases, the arbitration shall be conducted in Toronto, Ontario, Canada (or by videoconference at the election of either party), in the English language.

(c) Class Action Waiver. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND STAGEX AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

(d) Small Claims Exception. Either party may bring an individual action in a small claims court of competent jurisdiction.

(e) Users in the European Union, European Economic Area, and United Kingdom. Sections 14(b) and 14(c) do not apply to you. You may bring claims in the courts of your country of residence in accordance with applicable consumer protection laws. Nothing in these Terms limits your rights under the applicable consumer protection legislation of your EU/EEA Member State or the United Kingdom.

(f) Users in Australia. Sections 14(b) and 14(c) do not apply to you. Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) or any other applicable law that cannot be excluded, restricted, or modified by agreement.

(g) Users in Other Jurisdictions. If you reside in a jurisdiction where binding arbitration clauses or class action waivers are not enforceable against consumers, those provisions do not apply to you. Instead, disputes shall be resolved in the courts of Ontario, Canada, or in the courts of your jurisdiction of residence if required by applicable mandatory consumer protection law.

(h) Opt-Out. You may opt out of the arbitration agreement in Section 17(b) by sending written notice to stagex.tv@gmail.com within thirty (30) days of accepting these Terms. Your notice must include your name, account username, and a clear statement that you wish to opt out of arbitration.

18. Limitation of Liability

(a) THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

(b) TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STAGEX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF STAGEX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

(c) TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STAGEX'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (I) THE AMOUNTS YOU HAVE PAID TO STAGEX IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (II) ONE HUNDRED CANADIAN DOLLARS (CAD $100.00).

(d) NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR: (I) DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE; (II) FRAUD OR FRAUDULENT MISREPRESENTATION; OR (III) ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

(e) IF YOU ARE A CONSUMER IN THE EUROPEAN UNION, EUROPEAN ECONOMIC AREA, UNITED KINGDOM, OR AUSTRALIA, NOTHING IN THIS SECTION AFFECTS YOUR STATUTORY RIGHTS UNDER APPLICABLE MANDATORY CONSUMER PROTECTION LAW.

19. Governing Law

(a) These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

(b) For users in the European Union, European Economic Area, or United Kingdom: the governing law of your country of habitual residence shall apply to the extent required by mandatory consumer protection laws. This does not deprive you of the protection afforded by provisions that cannot be derogated from by agreement under the law of your habitual residence.

(c) For users in Australia: these Terms are subject to, and nothing in them excludes, restricts, or modifies, the rights and remedies available to you under the Australian Consumer Law.

20. Termination

(a) Account Deletion by User.You may delete your account at any time from within the App by navigating to your profile settings and selecting "Delete Account." Upon deletion, your profile data, username, and associated content will be permanently removed in accordance with our Privacy Policy. For any account issues that cannot be resolved in-app, you may also contact StageX at stagex.tv@gmail.com.

(b) Termination by StageX. StageX may suspend or terminate your account at any time, with or without cause, and with or without notice, including but not limited to cases of:

  • Violation of these Terms;
  • Copyright infringement or repeated copyright strikes;
  • Fraudulent or illegal activity;
  • Conduct that is harmful to other users, third parties, or the Platform.

(c) Effect of Termination. Upon termination, your right to use the Platform will immediately cease. Sections that by their nature should survive termination shall survive, including but not limited to Sections 7 (Content License), 8-10 (Copyright), 14 (Dispute Resolution), 15 (Limitation of Liability), and 16 (Governing Law).

(d) Pending Earnings. Upon termination, any accrued creator earnings that meet the minimum payout threshold (USD $10.00) will be paid out in accordance with the regular payout schedule, provided your Stripe Connect account remains in good standing and no claims or disputes are pending against your account.

21. Privacy

Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand how we collect, use, and protect your personal information.

22. Third-Party Services

(a) The Platform integrates with third-party services including Amazon Web Services (AWS), Stripe, and Apple. Your use of these services is subject to their respective terms and privacy policies.

(b) StageX is not responsible for the availability, accuracy, or content of third-party services, and does not endorse any third-party products or services accessible through the Platform.

23. Force Majeure

StageX shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, strikes, government actions, or internet or infrastructure failures.

24. Modification of Terms

(a) StageX reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Platform and updating the "Effective Date" at the top of this document.

(b) For material changes that significantly affect your rights or obligations, we will provide at least thirty (30) days' notice before the changes take effect. Notice may be provided through the Platform, by email, or by push notification.

(c) Your continued use of the Platform following the effective date of revised Terms constitutes your acceptance of such changes. If you do not agree to the revised Terms, you must stop using the Platform and close your account.

25. General Provisions

(a) Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and StageX regarding your use of the Platform.

(b) Severability. If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

(c) Waiver. The failure of StageX to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

(d) Assignment.You may not assign or transfer these Terms or your rights hereunder without StageX's prior written consent. StageX may assign these Terms without restriction.

(e) No Third-Party Beneficiaries.These Terms do not create any third-party beneficiary rights, except that StageX's affiliates, officers, directors, and employees are intended third-party beneficiaries of the indemnification and limitation of liability provisions.

(f) Notices. StageX may provide notices to you via the Platform, email, or push notification. You may provide notices to StageX at stagex.tv@gmail.com.
